Small-Paws Terms of Service

These Terms of Service (the Terms) govern your access to and use of the Small-Paws website and online learning platform, including all related content, courses, webinars, live events, downloads, community spaces, and other offerings (collectively, the Services).
These Terms form a legally binding agreement between 100148261 Ontario Inc., doing business as Small-Paws, an online business operating at small-paws.ca (Small-Paws, we, us, or our), and you (you, your, or User).
By accessing or using the Services, creating an account, or purchasing any offering, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
1. Eligibility and Authority
You must be at least 18 years of age and able to form a binding contract in your jurisdiction to use the Services and make purchases.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
The following policies and terms are incorporated into and form part of these Terms:

- Any additional terms, conditions, or disclosures presented at checkout or on the applicable course, mentorship, conference, or event page.
By using the Services, you agree to be bound by these policies.
In the event of any conflict between these Terms and specific terms presented at checkout or on a particular product or event page, the specific terms applicable to that offering will govern with respect to that offering only.
3. Services and Platform Role
Small-Paws provides an online platform for educational programming. Certain offerings may be created, hosted, or delivered by independent third party instructors. Unless expressly stated otherwise:
- Small-Paws does not provide veterinary, medical, legal, or other professional services through the Services.
- Small-Paws does not guarantee outcomes, results, certifications, credentials, or business performance as a result of using the Services.
- Instructors are not employees, agents, or partners of Small-Paws. They are independent providers responsible for their own content and professional obligations.
Where the Services involve third party instructors, your relationship regarding instructional delivery is between you and the instructor, and Small-Paws’s role is limited to providing platform access, administrative coordination, and payment processing as described in these Terms.
4. Educational Use Only and No Professional Advice
All content and materials provided through the Services are for educational and informational purposes only. They are not a substitute for individualized veterinary care, medical diagnosis, treatment, legal advice, or other professional advice.
You are responsible for how you interpret and apply the information provided. You agree that you will apply content consistent with applicable laws, regulations, ethical obligations, and the scope of your professional practice.
5. Account Registration, Security, and Acceptable Use
To access certain Services, you may be required to create an account. You agree to provide accurate and complete information and to keep your account details current.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must promptly notify Small-Paws at [email protected] of any unauthorized use or security breach.
Prohibited conduct
You agree not to:
- Share your account credentials or permit others to access paid content through your account
- Copy, reproduce, distribute, sell, sublicense, or publicly display Services content except as expressly permitted
- Circumvent, disable, or interfere with access controls, paywalls, security features, or platform protections
- Post or transmit unlawful, harmful, harassing, defamatory, obscene, or infringing content
- Scrape, crawl, reverse engineer, or otherwise attempt to extract platform data or source code
- Impersonate others or misrepresent your identity or affiliation
Small-Paws may suspend or terminate access for violations of these Terms.
6. Purchases, Pricing, Taxes, and Payment Authorization
Pricing, currency, and applicable fees are displayed at checkout.
Currency: All prices are listed in United States Dollars (USD) unless otherwise stated.
Taxes: Small-Paws operates on the Thinkific platform. Thinkific acts as a Marketplace Facilitator and Digital Platform Operator in the United States and Canada. Where applicable, sales tax will be automatically calculated, charged, collected, and remitted on behalf of Small-Paws under Thinkific’s tax registrations and filings.
The amount of tax charged, if any, is determined based on applicable law and your billing location at the time of purchase.
By completing a purchase, you authorize Small-Paws and its payment processor(s), including Thinkific and its integrated payment providers, to charge your selected payment method for the full purchase amount, including applicable taxes and fees.
Small-Paws reserves the right to modify pricing at any time. Price changes will not affect completed purchases.
7. Access Terms, Delivery, and Availability
Access to the Services is provided according to the access terms stated on the applicable product page or at checkout.
Unless otherwise expressly stated in writing:
- Access to recorded content within Small Bites, full courses, and mentorship programs, including recordings of any associated live sessions, is provided for a minimum of one (1) year from the date of purchase.
- Access to recordings of conferences or standalone live events is provided for one (1) year from the date of the event.
Access is time limited as described above and does not constitute lifetime access unless expressly stated in writing.
Small-Paws may, at its sole discretion, extend access beyond the stated access period. Any such extension does not create a continuing obligation to provide ongoing or indefinite access and may be modified or discontinued at any time.
Downloading, copying, screen recording, or otherwise reproducing course or event recordings is strictly prohibited unless Small-Paws provides prior written permission.
You acknowledge that availability of content may change due to platform updates, instructor revisions, licensing requirements, or operational considerations. Small-Paws reserves the right to modify, update, relocate, or remove content where reasonably necessary to maintain or improve the Services, comply with applicable law, or address rights or licensing issues.
8. Refunds, Cancellations, and Rescheduling
All purchases are subject to the following refund and cancellation terms. By completing a purchase, you acknowledge and agree to these terms.
8.1 Recorded Digital Content
All recorded digital products are non-refundable.
This includes, without limitation:
- Small Bites
- Full self-study courses
- Mentorship programs that include recorded content
- Any bundled offerings that include recorded materials
Once access to recorded content has been granted, no refunds, credits, or exchanges will be provided, except where required by applicable consumer protection laws.
8.2 Live Events Hosted by Small-Paws
For live conferences, workshops, webinars, or other scheduled events hosted by Small-Paws (whether delivered via Zoom or otherwise):
- If Small-Paws cancels the event, registrants will receive a full refund of the registration fee.
- If a participant withdraws more than sixty (60) days prior to the event date, a refund of ninety percent (90%) of the registration fee will be issued.
- If a participant withdraws between sixty (60) and fourteen (14) days prior to the event date, a refund of fifty percent (50%) of the registration fee will be issued.
- No refunds will be issued for cancellations made fewer than fourteen (14) days before the event date.
Refunds apply to registration fees only and do not include any third-party costs such as travel, accommodation, or related expenses.
8.3 No Shows
Failure to attend a scheduled live event or session without cancellation within the applicable timeframe will be treated as a completed registration and is not eligible for refund.
8.4 Discretionary Credits
Notwithstanding the foregoing, Small-Paws may, at its sole discretion, issue a partial refund or credit in exceptional circumstances. Any such decision does not create an obligation to provide refunds or credits in similar situations in the future.
8.5 Consumer Protection
Nothing in this Section limits any rights that may apply under mandatory consumer protection legislation.
9. Platform Boundaries and Off-Platform Services
Small-Paws provides an online educational platform. Instructors featured on the platform may independently offer services through their own businesses outside of Small-Paws.
Small-Paws does not control, supervise, or assume responsibility for any services, agreements, payments, communications, or professional relationships that occur outside of the Small-Paws platform. Any off-platform engagement is solely between the participant and the instructor, and Small-Paws disclaims all liability arising from such arrangements.
Where a course, mentorship, session, or event is offered for purchase through Small-Paws, all registration, payment, and access for that specific offering must be completed through the Small-Paws platform.
Small-Paws is not responsible for the conduct, performance, or outcomes of any services delivered outside of its platform.
10. Code of Conduct and Community Standards
Small-Paws is committed to maintaining a professional, respectful, and educational environment across all Services. This includes, without limitation, community forums, discussion boards, live sessions, chat features, mentorship calls, conferences, and any other interactive or group-based offerings, whether delivered online or in person.
All participants are expected to conduct themselves in a professional and respectful manner. The following conduct is strictly prohibited:
- Harassment, bullying, intimidation, or abusive behavior toward instructors, staff, or other participants
- Discriminatory, defamatory, threatening, or inflammatory language
- Disruptive conduct that interferes with the educational experience of others
- Sharing confidential, proprietary, or private information without authorization
- Recording, distributing, or reposting live sessions or community discussions without permission
- Any conduct that violates applicable laws or professional ethical standards
Small-Paws reserves the right, in its sole discretion, to remove or restrict access to any content, suspend participation, or terminate access to the Services where a participant’s conduct violates these Terms or is otherwise deemed inappropriate, disruptive, or harmful to the community.
Removal or termination under this Section may occur without prior notice and without refund.
11. Intellectual Property and License Restrictions
11.1 Ownership of Services Content
All content made available through the Services, including but not limited to videos, recordings, text, graphics, logos, course materials, handouts, templates, downloadable resources, and platform design (collectively, Services Content), is owned by Small-Paws and/or its licensors and is protected by applicable intellectual property laws.
Instructors retain ownership of their original intellectual property unless otherwise provided in a separate written agreement. Small-Paws hosts and distributes instructor content pursuant to license.
Nothing in these Terms transfers ownership of any intellectual property rights to you.
11.2 Limited License to Participants
Subject to your compliance with these Terms, Small-Paws grants you a limited, non-transferable, non-exclusive, revocable license to access and use the Services Content for your personal, internal, non-commercial educational use only, unless expressly stated otherwise on the applicable product page.
This license does not include the right to:
- Copy, reproduce, distribute, publish, transmit, publicly display, publicly perform, or create derivative works from any Services Content
- Share login credentials or provide third parties with access to paid content
- Download, record, screen capture, or otherwise reproduce video or live session content
- Use the Services Content for commercial training, consulting, resale, or derivative educational offerings
11.3 Supplemental Materials and Limited Sharing Permissions
Certain courses may expressly permit the sharing of specific supplemental materials. Where such permission is granted, it will be clearly stated within the applicable course or resource.
Any permitted sharing must:
- Be limited strictly to the materials explicitly identified as shareable
- Remain unaltered and unmodified
- Retain all copyright and attribution notices
- Not be sold, licensed, or incorporated into other commercial offerings
Unless explicit written permission is provided within the applicable course materials, all Services Content is confidential and may not be redistributed in any format.
11.4 Enforcement
Unauthorized use, reproduction, distribution, or misappropriation of Services Content may result in immediate termination of access without refund and may subject the participant to legal action to the fullest extent permitted by law.
12. User Content and Submissions
If you submit content through the Services, including comments, homework submissions, discussion posts, reviews, or messages (“User Content”), you represent that you have the legal right to submit such content.
You retain ownership of your User Content. You grant Small-Paws a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display your User Content solely as necessary to operate, administer, and improve the Services and to enforce these Terms.
If you provide feedback, suggestions, or ideas regarding the Services, Small-Paws may use such feedback without obligation or compensation.
13. Third-Party Platforms and Services
The Services are hosted and delivered through third-party platforms, including Thinkific and related payment and communication providers.
Third-party services are governed by their own terms and policies. Small-Paws is not responsible for third-party services, outages, interruptions, data loss, or content hosted on those platforms.
14. Service Availability and Modifications
Small-Paws may update, modify, suspend, or discontinue any portion of the Services at any time.
We do not guarantee uninterrupted, secure, or error-free access to the Services and are not liable for outages, delays, or platform interruptions beyond our reasonable control.
15. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available.”
Small-Paws disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of content.
We do not guarantee specific outcomes, results, certifications, or professional advancement arising from participation in the Services.
16. Limitation of Liability
To the maximum extent permitted by law, Small-Paws will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill.
Small-Paws’s total cumulative liability for all claims relating to the Services will not exceed the total amount paid by you to Small-Paws in the twelve (12) months preceding the event giving rise to the claim.
Where certain limitations are restricted by law, liability will be limited to the fullest extent permitted.
17. Indemnification
You agree to indemnify and hold harmless Small-Paws and its directors, officers, contractors, and affiliates from claims, damages, liabilities, and expenses arising from:
- Your use of the Services
- Your User Content
- Your violation of these Terms
- Your violation of any rights of a third party
18. Termination
Small-Paws may suspend or terminate access to the Services at its discretion if you violate these Terms or applicable law.
Upon termination, your right to access the Services will cease immediately. Sections intended to survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.
19. Governing Law and Venue
These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.
Any legal proceedings permitted under these Terms will be brought exclusively in the courts of Ontario, Canada, and you submit to that jurisdiction.
20. General Provisions
These Terms constitute the entire agreement between you and Small-Paws regarding the Services and supersede prior agreements.
If any provision is found unenforceable, the remaining provisions remain in effect.
Failure to enforce any provision is not a waiver.
You may not assign these Terms without prior written consent. Small-Paws may assign these Terms in connection with a merger, acquisition, or sale of assets.
Headings are for convenience only and do not affect interpretation.
Small-Paws may update these Terms from time to time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
